Terms and conditions of sale and use

Purpose

These terms and conditions govern the use of the TierSafe service (the "Service"), published by ARDNTECH, which makes a third-party file (customers, suppliers) reliable for e-invoicing and monitors a portfolio of third parties (the "Sentinelle" offer), in a limited free version or on subscription.

Credits

The Service works on a prepaid basis: purchasing credits (1 credit verifies one third-party record) gives access to verifications. The main features are:

• credits have no expiry date: they remain usable as long as your account exists, at the latest until it is deleted for inactivity (24 months without a login, after a warning email, see "Data");
• a failed run is refunded;
• re-running the same file within 24 hours of a first run is free (fixing a column mapping).

Sentinelle Free

Any account whose e-mail address is confirmed can, without a subscription and free of charge:

• have its own company monitored, identified by its SIREN number, and receive an e-mail alert on the day a change concerning it is published; the monitored company can be changed only once a month;
• have 10 third parties of its portfolio monitored, with their watches, an e-mail alert on the day a change of director or a proven risk (insolvency proceedings, cessation, closed establishment, invalid VAT, deregistered platform) is detected, and a weekly e-mail summary for the rest; records beyond the first 10 only give a figures-only review;
• Sentinelle Free includes no monthly report, no export, no reading through the API, no webhook and no additional recipient; the portfolio changes at most 5 times a day;
• it relies on the same sources, with the same limits, as the subscription, and is provided without any service level commitment; the publisher may change its content by notifying the users concerned by e-mail at least one month in advance.

Sentinelle subscription

The Sentinelle subscription is separate from credits, and uses none. Its main features are as follows:

• the subscription gives access to the monitoring of a portfolio of third parties, up to the number of records of the chosen tier, for twelve months from payment;
• monitoring covers the public sources described on the plans page (BODACC, SIRENE register, intra-EU VAT numbers, list of approved platforms, Peppol directory), as they are published; the DGFiP directory is shown with its lookup date, without alerts; the publisher guarantees neither the completeness nor the accuracy of these sources;
• the subscription is paid in one go and does not renew automatically: a reminder is sent one month before it ends; it is not refundable during the period, unless the publisher fails to meet its obligations;
• moving up a tier is charged pro rata for the remaining days and does not change the end date; moving down takes effect at renewal;
• each month, up to 25% of the tier can be renewed on top of the free room in the portfolio; beyond that, each new record uses one credit;
• the subscription includes the monitoring API and webhooks: the subscriber keeps their API tokens and signing secrets confidential and is responsible for the receiving address they declare; deliveries are made at least once, with no ordering guarantee, and an address that no longer answers is disabled after about three days of attempts, events remaining available in the account and through the API;
• without renewal, the first ten records stay monitored for free and the others are kept 90 days after the end date, then deleted; without a subscription, the records beyond the first ten, used for the free review, are deleted 90 days after they were added.

Pricing

Prices are shown in euros, excluding VAT, on the credit purchase page and on the Sentinelle offer page. The amount, the number of credits or the subscription tier are fixed when you order: a later price change does not alter an order already placed.

Payment

Payment is made online, on our provider's secure payment page, by bank card. Credits are added, and the monitoring subscription activated, once payment is confirmed.

Invoicing

An invoice is issued for each paid purchase. It is available from your account and shows the number, date, issuer and your company details as entered at checkout.

Service

The Service returns a verdict per record (ready, to confirm, blocking) based on official registers (SIRENE, BAN). The official sources remain the only authorities: the TierSafe verdict is decision support and does not replace a verification obligation that rests with you.

Data

After 24 months without a login, an account is notified by email then deleted (anonymised), with associated files erased.

For the third-party files you entrust to us, you are the data controller and we act as a processor (Art. 28 GDPR), on your behalf and following your instructions. A data processing agreement is available on request.

Liability

The Service is provided "as is". The publisher uses its best technical efforts to ensure reliable verifications but cannot be held liable for an invoice rejection caused by a third-party record that is inaccurate or not updated by the customer.

Applicable law

These terms are governed by French law. Any dispute falls under the competent French courts.
